Terms of Service

§ 1. Definitions
The terms used in these Terms of Service have the following meanings:
- Seller / Nuuvie – NUUVIE STUDIO – DANIEL TROĆ, REGON 381890116, NIP 5372250061, email: hej@nuuvie.com, operating the service available at: https://www.nuuvie.com/.
- Client – a natural person with full legal capacity, a natural person conducting business activity, as well as a legal entity or an organisational unit without legal personality, who makes a purchase through the Service.
- Consumer – a Client who is a natural person making a purchase unrelated directly to their business or professional activity, as well as a natural person conducting business activity who makes a purchase directly related to their activity, where the content of the agreement indicates that it does not have a professional character for that person (a so-called entrepreneur with consumer rights).
- Service – the online service available at https://www.nuuvie.com/.
- Terms of Service – these terms and conditions of electronic service provision, available at www.nuuvie.com/legal/regulamin.
- Privacy Policy – a document setting out the rules for processing Clients' personal data, available at www.nuuvie.com/legal/polityka-prywatnosci.
- Product – a service or digital content offered by the Seller through the Service, including in particular: a Consultation, E-book, Service Package, or other digital products introduced by the Seller into the Service's offer.
- Consultation – a service consisting of an individual online meeting (1:1) between the Seller and the Client, lasting 90 minutes, conducted via a video conferencing tool selected by the Seller.
- E-book – an electronic publication in digital format (e.g. PDF), delivered to the Client upon payment.
- Service Package – a complex product comprising a combination of Consultations and/or other digital products, offered by the Seller on the terms specified in the description of the given package.
- Payment Operator – an external entity handling payment transactions in the Service, in particular EasyTools sp. z o.o. based in Warsaw or another entity indicated by the Seller.
- Agreement – an agreement for the provision of services or delivery of digital content concluded between the Seller and the Client via the Service.
- Calendar Link – an individual link sent to the Client after purchasing a Consultation, enabling redirection to the Seller's calendar and booking of a meeting slot.
- Validity Period – the period during which the Client may use the purchased Consultation, being 6 months from the date of purchase.
§ 2. General Provisions
- These Terms of Service set out the rules and conditions for the provision of electronic services by the Seller through the Service, including the rules for concluding Agreements, the rules for fulfilling Products, and the complaints procedure.
- Use of the Service and placing orders is only possible after reading and accepting these Terms of Service.
- The Service offers exclusively Products in digital form or services provided online.
- The Seller reserves the right to expand the Service's offer with new Products (including E-books, Service Packages, and other digital products) without the need to amend these Terms of Service each time, provided that the general rules set out in this document remain applicable. Detailed terms for individual Products may be specified in product descriptions or separate annexes to the Terms of Service.
- Matters not regulated by these Terms of Service shall be governed by the provisions of Polish law, in particular the Civil Code, the Act on the provision of electronic services, and the Act on consumer rights.

§ 3. Technical Requirements
In order to use the Service and access purchased Products, the Client should have:
- a device with internet access (computer, tablet, smartphone),
- an up-to-date web browser supporting JavaScript and cookies (e.g. Google Chrome, Mozilla Firefox, Safari),
- an active email address,
- in the case of a Consultation – access to the video conferencing tool indicated by the Seller, a camera and a microphone.
- The Seller shall not be liable for technical problems on the Client's side that prevent the use of purchased Products.
- In the event of technical problems related to the Service, the Client may contact the Seller at: hej@nuuvie.com.
§ 4. Conclusion of the Agreement and Placing Orders
- The information presented in the Service constitutes an invitation to conclude an agreement within the meaning of Article 71 of the Civil Code, and not a commercial offer.
- Orders may be placed 24 hours a day, 7 days a week.
- An order is placed by selecting a Product in the Service and then making payment via the Payment Operator. Before placing an order, the Client is required to read these Terms of Service and the Privacy Policy.
- The Agreement is concluded at the moment the Payment Operator confirms positive payment authorisation, which is tantamount to confirming the placement of the order.
- After payment is registered, the Client receives a purchase confirmation at the provided email address along with further instructions regarding the fulfilment of the Product.
- Payment processing in the Service is handled by the Payment Operator. The Seller reserves the right to change the Payment Operator while maintaining full transaction security; any change of the Payment Operator will be reflected in an update to the Privacy Policy.
- Prices of Products presented in the Service are gross prices and include all taxes required by law, unless the Seller has expressly indicated that the price is a net price to which VAT must be added.
- Prices are quoted in Polish zloty (PLN). The Seller reserves the right to change the prices of Products; however, price changes do not affect orders placed before their introduction.
- A reduced price is the price applicable as a result of a price reduction of the Product.
- The lowest price is the lowest price for the Product that was in effect during the 30 days prior to the introduction of the reduction; in the case of a Product offered for sale for a period shorter than 30 days, the lowest price is the lowest price applicable from the date the Product was first offered until the date the reduction was introduced.
§ 5. Free Introductory Call (15 minutes)
- The Seller offers prospective Clients the opportunity to have a free, 15-minute introductory online call (hereinafter: the "Free Introductory Call").
- The Free Introductory Call is not a full consultation service. It is non-binding in nature and constitutes solely a preliminary assessment of the prospective Client's needs and an introduction to the Seller's offer.
- During the Free Introductory Call, the Seller is not obliged to: provide exhaustive advice or detailed recommendations, develop any strategy or action plan, or provide materials or documents.
- The Free Introductory Call lasts a maximum of 15 minutes. The Seller reserves the right to end the call after this time.
- Using the Free Introductory Call does not obligate either party to conclude an Agreement for paid services.
- The Free Introductory Call can be booked via a form or link available on the Website. The Seller will confirm the appointment by email.
- The Seller reserves the right to cancel or decline to confirm the Free Introductory Call, informing the Client at least 24 hours before the scheduled call at the provided email address.
- The technical requirements set out in § 3 of these Terms of Service apply accordingly to the Free Introductory Call.
§ 6. Rules for Conducting Consultations
- After purchasing a Consultation, the Client receives an email with a Calendar Link enabling them to book a meeting slot.
- The Client books the Consultation slot independently by selecting one of the available time slots in the Seller's calendar.
- If none of the available slots is suitable for the Client, they should inform the Seller by email (hej@nuuvie.com), and the Seller will endeavour to jointly agree on a suitable time so that the Consultation can take place.
- The Consultation is valid for 6 months from the date of purchase (Validity Period). The Consultation expires upon the end of the Validity Period only if the Client, despite at least one time slot proposal from the Seller sent to the email address provided at purchase, has not booked or attended the meeting. Failure to use the Consultation within this period — for reasons attributable to the Client, in particular by failing to book a slot or failing to attend a booked meeting — does not constitute grounds for a refund or extension of the Validity Period.
- The Consultation is conducted online using a video conferencing tool indicated by the Seller (e.g. Google Meet, Zoom, or other). The specific tool will be indicated in the email sent after purchase.
- The Client undertakes to attend the Consultation on time, at the booked slot, with their camera and microphone enabled.
- In the event of the Client being late for the Consultation, the time of lateness is counted towards the duration of the meeting and is not subject to compensation.
- Changing or cancelling a booked slot is possible as follows: the Client may change or cancel the Consultation slot once, provided they do so at least 48 hours before the scheduled meeting; cancellation or rescheduling less than 48 hours before the meeting does not entitle the Client to a refund; in documented exceptional circumstances (e.g. sudden illness, accident), the Seller may, at their sole discretion, offer an alternative Consultation slot at no additional charge; the Client may change or cancel the Consultation slot by contacting the Seller by email at hej@nuuvie.com.
- The Seller reserves the right to cancel a booked Consultation slot in circumstances beyond the Seller's control (e.g. technical failure, illness, force majeure). In such a case, the Seller will promptly inform the Client and propose a new date or — at the Client's request — issue a refund.
§ 7. Rules for Delivering E-books and Other Digital Content
- After payment for an E-book or other digital content is registered, the Client receives access to the purchased Product or a download link at the provided email address.
- E-books and other digital content offered in the Service constitute works within the meaning of the Act on copyright and related rights and are subject to legal protection.
- Upon purchasing an E-book, the Seller grants the Client a non-exclusive, non-transferable licence to use the Product solely for the Client's personal use, on the following fields of exploitation: storing and saving in the memory of the Client's electronic device; displaying and playing for personal use; printing one copy for personal use.
- The licence referred to in point 3 above does not entitle the Client to: share the Product with third parties — for remuneration or free of charge; resell, reproduce, or distribute the Product; use the Product or its elements for commercial purposes; modify or publicly disseminate the Product.
- Detailed terms for Service Packages and future Products will be specified each time in the description of the given Product or a separate annex to the Terms of Service.
§ 8. Right of Withdrawal
A. Consumers
- A Client who is a Consumer has the right to withdraw from a distance contract within 14 days of its conclusion, without giving any reason.
- The right of withdrawal does not apply to the Consumer in respect of a contract for the supply of digital content not delivered on a tangible medium (e.g. E-book, access to online materials), if — in accordance with Article 38a of the Act of 30 May 2014 on consumer rights — the Consumer has given their express consent to the performance of the service before the withdrawal period expires and has acknowledged the loss of the right of withdrawal.
- In the case of a Consultation: a Consumer who orders a Consultation and books a slot falling before the expiry of the 14-day withdrawal period may request that the service begins before the expiry of that period. In such a case, the Consumer, having fully used the service, loses the right of withdrawal.
- In the case of a Consultation whose slot has not yet been booked or which has not yet been performed, the Consumer has the right to withdraw from the Agreement within 14 days of its conclusion by submitting a withdrawal statement to: hej@nuuvie.com.
- The refund will be made within 14 days of the Seller receiving the Consumer's withdrawal statement, using the same payment method as used by the Consumer, unless the Consumer agrees to a different refund method.
B. Business Clients
- Clients who are not Consumers do not have the right of withdrawal, unless the parties agree otherwise in a written agreement.
§ 9. Complaints
- The Client has the right to file a complaint in connection with improper performance of a service or delivery of a Product that does not conform to the Agreement.
- A complaint should be submitted by email to: hej@nuuvie.com, stating: the Client's full name; the date of purchase and order number (if one was assigned); a description of the problem or non-conformity; the Client's request (e.g. re-performance of the service, refund).
- The Seller undertakes to consider the complaint within 14 calendar days of receipt. A response will be sent to the Client's email address.
- Complaints related to the improper functioning of the Payment Operator should be directed directly to the Payment Operator.
- The Consumer may use out-of-court complaint resolution methods, including contacting the Consumer Ombudsman for their place of residence or the Trade Inspection Authority.
§ 10. Liability
- The Seller undertakes to provide Products with due care, in accordance with their experience and knowledge.
- The content and advice provided during Consultations or contained in E-books and other materials are of an informational and educational nature only. They do not constitute legal, tax, financial, or medical advice within the meaning of applicable law.
- The Seller shall not be liable for decisions made by the Client on the basis of information obtained during a Consultation or from purchased Products.
- The Seller's liability towards a Client who is not a Consumer is limited to the amount of the price paid by the Client for the given Product.
- The Seller shall not be liable for interruptions in access to the Service caused by failures or the need to carry out maintenance work.
§ 11. Personal Data Protection
- The controller of Clients' personal data is NUUVIE STUDIO – DANIEL TROĆ, REGON 381890116, NIP 5372250061, email: hej@nuuvie.com.
- The rules for processing Clients' personal data are set out in the Privacy Policy available at www.nuuvie.com/legal/polityka-prywatnosci, which forms an integral part of these Terms of Service.
- Personal data provided by the Client in connection with the purchase of a Product (including via the Payment Operator) will be processed for the purpose of performing the Agreement, issuing accounting documents, and for marketing purposes — in accordance with the Privacy Policy.
- Provision of personal data is voluntary but necessary for the conclusion and performance of the Agreement.
§ 12. Copyright and Intellectual Property
- All content available in the Service, including Products, graphic materials, texts, logos, and other elements, constitutes the intellectual property of the Seller or entities that have granted appropriate licences, and is protected by copyright law.
- Without the Seller's express written consent, the following are prohibited: reproducing, copying, or distributing Products or their elements; placing Products or their elements on external platforms, databases, or other services; commercial use of Products or their elements.
- Infringement of the Seller's copyright may result in civil and criminal liability for the perpetrator.
§ 13. Final Provisions
- The Seller reserves the right to amend these Terms of Service for important reasons, in particular in connection with changes to the law or the expansion of the Service's offer.
- The Seller will inform Clients of any changes to the Terms of Service with at least seven (7) days' notice by posting a relevant notice in the Service. Changes to the Terms of Service do not affect Agreements concluded prior to their entry into force.
- Matters not regulated by these Terms of Service shall be governed by the provisions of the Civil Code, the Act of 18 July 2002 on the provision of electronic services, the Act of 30 May 2014 on consumer rights, and other applicable provisions of generally applicable Polish law.
- Any disputes arising from the performance of the Agreement shall be resolved by a court having jurisdiction under the provisions of general law. For Consumers, jurisdiction shall be determined in accordance with the Code of Civil Procedure.
- These Terms of Service are effective from 5 April 2026.
